About Course The Mergers and Acquisitions (M&A) course is designed to provide a comprehensive understanding of the key aspects of M&A transactions. It is structured across 13 modules, each focusing on specific elements crucial for mastering the complexities of corporate mergers and acquisitions.
About Mentor
Dr. Parineeta Goswami is an Assistant Professor of Law at the School of Law, UPES Dehradun, with a distinguished academic background in Corporate Law, Mergers and Acquisitions, Banking, and Insurance Laws. A silver medalist in LL.M. and a PhD holder from Rajiv Gandhi National University of Law, she is also a UGC-NET & JRF qualified scholar. Dr. Goswami has authored books on banking law and published numerous papers in Scopus and UGC CARE-listed journals. She is an active member of GALTER and SASCV and has chaired prestigious national legal events. Her expertise and leadership make her a vital contributor to academia.

The course starts on 9th November, 2024 and will go on for 6 week, featuring engaging live classes every weekend only on Saturday and Sunday.

Module 2: Stages in an M&A transaction.
Module 3 & 4: Drafting of Term Sheet and Due Diligence Report.
Module 5: Negotiations.
Module 6 & 7: Joint Ventures & Drafting of JV Agreement.
Module 8: Employment issues in M&A transactions.
Module 9: Corporate governance and balancing investors’ rights.
Module 10 & 11: Various types of Agreements including Shareholders’ Agreements (SHA), Share Sale Agreements (SSA) & Share Purchase Agreements (SPA) and their drafting.
Module 12: Tax considerations in M&A.
Module 13: Rationale for M&A transactions (Case studies).
